Terms of Service

These terms govern your use of the Tharas software and subscription. They are written to be read, and the clauses that carry real risk are not buried.

This notice is not yet complete. The following statutory details are still to be published: registered office address, corporate identity number (CIN), grievance officer, grievance officer email. Until then, contact us at tech@tharastech.com and we will respond on the same timelines set out below.

1. The agreement

These terms form a binding agreement between you — or the company you are acting for — and Tharas Tech India Private Limited. You accept them by creating an account, installing the software, or paying for a subscription, whichever happens first. If you are accepting on behalf of a company, you confirm you are authorised to bind it.

You must be at least 18. If we cannot lawfully supply you where you are, we may decline or withdraw service.

2. Your licence

We grant you a non-exclusive, non-transferable, revocable licence to install and use the Tharas software for your own development work, for as long as these terms are in force. The software is licensed, not sold.

You may not:

  • resell, sublicense, rent or offer the software as a service to third parties;
  • reverse engineer, decompile or attempt to extract the model prompts, charters or routing logic, except to the extent that restriction is unenforceable where you live;
  • circumvent entitlement checks, metering, or usage limits, or use credentials you were not issued;
  • use the managed model access to build or train a competing model or coding agent;
  • use Tharas to produce malware, to infringe someone’s rights, or for anything unlawful where you or we operate.

3. What Tharas does to your code

This is the clause worth reading twice. Tharas is an autonomous agent. With your instruction it will create branches and worktrees, write and delete files inside the scope a plan declared, run your test suite, execute build and start commands from your repository, and — where you have configured a remote — open pull requests.

It has gates, isolation and an approval model designed to make that safe, and they are described honestly on how it works. None of that is a guarantee. You are responsible for:

  • keeping backups and using version control, so that any change can be reverted;
  • reviewing what it produces before you merge it or put it in front of users;
  • the scope you grant it, the repositories you point it at, and the credentials you make available to it;
  • never pointing it at a production system you are not prepared to have modified.

4. Your content and its output

Your code and everything you feed the product remain yours. You grant us only the licence we need to run the service for you: to transmit your prompts to model providers, to display results back to you, and to keep the metering records that produce your invoice. What we do with that data is set out in the privacy policy, which forms part of these terms.

As between you and us, you own the output Tharas produces for you. We make no claim to it. We also make no warranty about it — model output can be wrong, can resemble other people’s code, and may not be protectable by copyright in some countries. Reviewing output for correctness, licence compatibility and fitness is your responsibility, and no gate in the product transfers it to us.

5. Availability

The engine runs on your machine and does not need us to be online to keep your existing work. Starting new work needs our control plane, which we aim to keep available but do not guarantee. We may take it down for maintenance, and we will avoid doing that without warning where we reasonably can.

We may change or discontinue features. Where a change materially reduces what a paid plan does, we will tell you before it takes effect and you may cancel for a pro-rata refund of the unused period.

6. Charges

What you are billed for
A subscription covering seats and an included volume, plus metered usage beyond it. Usage is priced on the capability tier the work needed, never on which vendor served the call.
Where the figures come from
The live rate card on the pricing page, which is served by the same code that meters your account. A published rate and a line on your invoice cannot disagree.
Notice before a recurring charge
We will notify you at least 24 hours before every recurring debit, stating the amount. This is required by the Reserve Bank of India’s e-mandate framework, and our billing system will not initiate a debit unless that notice was sent, for that exact amount, far enough in advance.
Taxes
Prices exclude GST and any other applicable tax, which is added at the prevailing rate. Indian customers are invoiced in INR at an exchange rate fixed on the invoice.
Failed payment
If a payment fails we may suspend the ability to start new work after notifying you. We will not delete your data during a suspension.
Disputes
Raise a billing query within 30 days of the invoice and we will explain it line by line from the underlying records. Where we are wrong, we credit it.

7. Cancelling, and what you keep

You may cancel at any time, effective at the end of the current billing period. We do not refund a period already begun except where clause 5 applies or the law requires it.

What you downloaded stays yours to keep and continues to receive security fixes. Cancelling stops new work from starting; it does not take software off your machine, and it does not touch a single line of your code.

We may suspend or terminate your account for breach of these terms, for non-payment after notice, or where we must to comply with the law. If we terminate without cause we refund the unused period.

8. Warranties

We provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the software and the service are provided “as is”. We do not warrant that Tharas will be uninterrupted, that it will produce correct code, that it will find every defect, or that it is fit for a particular purpose you have not told us about.

9. Liability

Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, we are not liable for loss of profit, revenue, business, goodwill, anticipated savings, or for indirect or consequential loss. Our total liability arising out of or in connection with this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

You are liable for your use of the product, including changes it makes to your systems at your instruction, and for the consequences of shipping output you did not review.

10. Indemnity

You will indemnify us against claims arising from your use of Tharas in breach of these terms, from content you supply that infringes someone’s rights, and from your deployment of output you produced with it.

11. Confidentiality

Each party will keep the other’s non-public information confidential and use it only for this agreement. This does not apply to information that is public through no fault of the receiving party, was already known to it, or must be disclosed by law.

12. Changes to these terms

We may update these terms. For material changes we will give at least 30 days’ notice by email or in the product, and continuing to use Tharas after they take effect is acceptance. If you do not accept, you may cancel before they take effect and we will refund the unused period.

13. Governing law

This agreement is governed by the laws of India, and the courts at Hyderabad, Telangana, India have exclusive jurisdiction. Before starting proceedings, both parties will attempt in good faith to resolve the dispute by discussion for 30 days.

14. General

These terms, together with the privacy policy and the plan you bought, are the entire agreement between us. If a clause is unenforceable the rest survives. Our not enforcing something is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor to our business.
